Terms of Trade

These Terms of Trade apply to all products and services supplied by Ecosource Limited to approved trade customers.

These Terms of Trade apply to products and services supplied by Ecosource Limited ("Ecosource", "we", "us", "our") through the Ecosource trade website, quotations, invoices, purchase orders and other agreed sales channels.

By placing an order, submitting a purchase order or otherwise instructing Ecosource to proceed with an order, the customer agrees to these Terms of Trade.

1. Trade Customers

Ecosource is a trade-only supplier. Our products and services are supplied to approved resellers and other customers purchasing in trade for business purposes.

We reserve the right to approve, decline, suspend or review trade account access where reasonably necessary.

2. Pricing

Unless expressly stated otherwise, all prices displayed or quoted are exclusive of GST, duties, taxes and other applicable government charges.

Prices may vary due to supplier pricing, exchange rates, freight, duties, manufacturing costs or other factors outside Ecosource's reasonable control.

Website pricing is indicative until confirmed as part of an order or quotation.

Where a quotation has been issued and accepted within its validity period, Ecosource will honour the quoted price subject to any conditions or qualifications expressly stated in that quotation.

3. Quotations

Unless otherwise stated in writing, quotations are valid for 14 days from the date of issue.

Quotations remain subject to stock availability, artwork requirements, branding feasibility and any qualifications stated on the quotation.

Changes to quantity, product, branding, artwork, delivery location or other order requirements may require the quotation to be revised.

4. Payment

Ecosource operates on pre-payment terms unless otherwise expressly agreed in writing.

Customers may:

  • pay using the online payment methods available at checkout; or
  • submit a purchase order and request an invoice for payment by bank transfer.

Ecosource maintains banking facilities for NZD, AUD and USD payments. The appropriate banking details will be supplied on the relevant invoice.

Orders will not proceed into production until cleared payment has been received unless Ecosource has expressly agreed otherwise in writing.

5. Bank Fees & Currency

The customer is responsible for bank charges, intermediary bank fees and international transfer fees associated with payment.

Ecosource must receive the full invoiced amount in the currency shown on the invoice before production can proceed.

6. Purchase Orders

Submission of a purchase order constitutes the customer's authority for Ecosource to proceed in accordance with the purchase order, applicable quotation and these Terms of Trade.

If a purchase order contains terms that conflict with these Terms of Trade, those additional or conflicting terms will not apply unless specifically accepted by Ecosource in writing.

7. Samples

Samples are supplied on a non-refundable and non-returnable basis.

Where the customer subsequently places a qualifying order for the sampled product, meeting the normal product minimum order quantity, within 30 days of the sample invoice date, Ecosource will credit the sample product cost against that order.

Freight, courier and delivery charges associated with the sample are not credited.

The sample credit applies only to the sampled product and cannot be exchanged for cash or transferred to an unrelated product or order unless Ecosource agrees otherwise in writing.

8. Artwork & Approval

The customer is responsible for carefully reviewing all artwork proofs before approval.

Approval confirms that the customer has checked and accepted, as applicable:

  • spelling and wording;
  • logos and artwork;
  • branding position;
  • branding size;
  • colours;
  • product selection;
  • quantities; and
  • other details shown on the proof.

Once artwork has been approved and production has commenced, changes may not be possible and additional costs may apply where changes can still be accommodated.

Ecosource is not responsible for errors contained in artwork that has been approved by the customer, except to the extent the final product materially differs from the approved proof due to an error by Ecosource or its production partners.

9. Colour Matching

Ecosource and its production partners make reasonable efforts to achieve accurate branding colours.

Exact Pantone, screen-to-product or sample-to-production colour matching cannot always be guaranteed because colours may reproduce differently depending on the substrate, product colour, printing process, ink, manufacturing batch and other production variables.

Reasonable commercial colour variation is therefore acceptable unless a specific colour tolerance has been expressly agreed in writing before production.

10. Branding & Production Tolerances

Promotional products are produced using commercial manufacturing and branding processes.

Minor variations in branding size, position, alignment, colour and appearance may occur within reasonable commercial production tolerances.

These variations do not automatically constitute a product defect.

11. Order Quantities

Ecosource and its suppliers aim to supply the exact quantity ordered.

Certain manufacturing or branding processes may occasionally result in reasonable over-runs or under-runs.

Where a supplier advises that an over/under production tolerance applies to a particular order, Ecosource will endeavour to communicate this before production where practicable.

12. Stock Availability

Stock quantities displayed on the Ecosource website are indicative and may be sourced from live or periodically synchronised supplier information.

Stock is not guaranteed until the order has been processed and availability confirmed.

If stock becomes unavailable after an order is submitted, Ecosource will contact the customer to discuss suitable alternatives, revised timing or another appropriate resolution.

13. Lead Times

Any stated lead time is an estimate unless Ecosource expressly confirms a delivery date in writing.

Production lead times begin only once Ecosource has received:

  • cleared payment;
  • final artwork approval;
  • confirmed stock;
  • all required order information; and
  • any other approvals or information required to commence production.

Delays in providing artwork, payment, approvals or other required information may affect the delivery schedule.

14. Required Delivery & Event Dates

Customers must advise Ecosource before placing an order if goods are required for a fixed event, campaign, conference or other critical date.

Requested delivery dates are not guaranteed unless specifically confirmed by Ecosource in writing.

Ecosource will make reasonable efforts to meet confirmed schedules but cannot guarantee delays caused by circumstances outside its reasonable control.

15. Freight & Delivery

Freight displayed or calculated on the website may be subject to final confirmation.

Large, bulky, heavy, hazardous, remote-area, international or unusually configured orders may require a manual freight quotation.

Where the final freight requirement materially differs from an automatically calculated amount, Ecosource will advise the customer before proceeding where practicable.

16. Courier & Transport Delays

Once goods have been dispatched, delivery is subject to the relevant courier, freight carrier and transport network.

Ecosource will reasonably assist customers with tracking, freight enquiries and claims, but is not responsible for delays caused by carriers, customs, border processing, weather, natural events or other circumstances outside Ecosource's reasonable control.

17. Duties, Taxes & International Orders

GST, import duties, customs charges, local taxes and other government charges are excluded unless expressly included in the quotation or invoice.

Where the customer or recipient is responsible for import clearance, duties or taxes in the destination country, those costs remain the customer's responsibility.

18. Product Information

Ecosource makes reasonable efforts to ensure product information, images, specifications and pricing displayed on our website and in our marketing materials are accurate and current.

Product details — including dimensions, colours, materials, packaging, stock, pricing, minimum order quantities, lead times, branding options, branding templates and print areas — may change as a result of supplier or manufacturing updates.

Product images are provided as a guide. Colours, finishes, natural materials and production batches may vary slightly from images displayed on screen.

If a particular specification is critical to an order, the customer should ask Ecosource to confirm that specification before ordering.

19. Supplier & Manufacturing Changes

Manufacturers may occasionally change product specifications, components, packaging, colours or other characteristics.

If Ecosource becomes aware of a material change affecting an order, we will contact the customer where reasonably practicable and may offer an appropriate alternative or other reasonable solution.

20. Natural Materials

Products made from natural materials such as cork, bamboo, timber, cotton and other natural fibres may display variations in grain, texture, colour, tone and appearance.

These natural variations are part of the character of the material and do not, by themselves, constitute a defect.

21. Branded & Customised Products

Branded, customised or specially produced goods cannot be returned or exchanged because of a change of mind.

Customers should therefore carefully confirm product selection, quantities and approved artwork before production begins.

22. Cancellations

Once an order has entered production or branding has commenced, it cannot be cancelled.

If an order is for unbranded goods and has not entered production or been committed for dispatch, Ecosource may accept a cancellation subject to a $55 handling fee and recovery of any additional non-recoverable costs already incurred specifically for that order.

Ecosource will disclose any such additional costs where applicable.

23. Damaged, Incorrect or Faulty Goods

Customers must inspect goods promptly after delivery.

Claims relating to goods that are visibly damaged, incorrect or faulty should be reported to Ecosource within 5 days of delivery, together with:

  • the relevant order or invoice number;
  • a description of the issue; and
  • clear photographs or other reasonable supporting evidence.

The five-day notification period is intended to allow transport, production and supply issues to be investigated promptly and does not exclude any rights or remedies that cannot lawfully be excluded.

Customers should retain affected products and packaging while a claim is being investigated unless Ecosource advises otherwise.

24. Verified Claims & Credits

Where Ecosource verifies that goods supplied are faulty, incorrectly produced or materially different from the approved order, Ecosource will work with the customer to provide an appropriate remedy.

For trade transactions where legally permitted and subject to any rights that cannot lawfully be excluded, Ecosource's preferred commercial remedy is an appropriate account credit rather than a cash refund.

The amount and form of any credit will depend on the nature and extent of the verified issue.

25. Customer-Supplied Artwork & Intellectual Property

By providing logos, trademarks, artwork, images, designs or other material to Ecosource, the customer confirms that it has the necessary rights, licences or permissions for Ecosource and its production partners to reproduce those materials for the purpose of fulfilling the order.

The customer is responsible for claims arising from material supplied by the customer where the customer did not have the necessary rights or permission to use it.

26. Sustainability, Certification & Product Claims

Ecosource aims to provide accurate material, sustainability, certification and product-impact information based on verified supplier information and/or clearly identified calculation methodologies.

Sustainability attributes, certification status and material percentages may vary by product.

Customers should refer to the specific product information provided and should not assume that an attribute applying to one component applies to the entire product.

Ecosource will not knowingly make unsupported sustainability or certification claims.

27. Carbon Information

Where carbon footprint information is displayed, the source and/or calculation methodology may vary by product.

Supplier-provided carbon information and Ecosource-calculated carbon estimates should be identified appropriately where displayed.

Carbon calculations and estimates are intended to support product comparison and informed decision-making and should not be interpreted as independent product certification unless expressly stated.

28. Consumer Guarantees Act — Business Transactions

The customer acknowledges that products and services supplied under these Terms are acquired in trade for business purposes.

To the extent permitted by law, where both Ecosource and the customer are in trade and it is fair and reasonable for them to do so, the parties agree in writing that the provisions of the Consumer Guarantees Act 1993 will not apply to the supply.

Nothing in these Terms excludes, restricts or modifies any right, remedy or obligation that cannot lawfully be excluded, restricted or modified.

29. Fair Trading & Accuracy

Nothing in these Terms permits either party to engage in misleading, deceptive or otherwise unlawful conduct.

Any limitation, exclusion or contracting-out provision in these Terms applies only to the extent permitted by New Zealand law.

30. Events Outside Reasonable Control

Ecosource will not be responsible for failure or delay caused by circumstances outside its reasonable control, including natural disasters, severe weather, fire, epidemic or pandemic events, industrial action, transport disruption, port or border delays, government action, war, supplier disruption or major systems/network failures.

Ecosource will make reasonable efforts to minimise the impact of such events and communicate material delays affecting confirmed orders.

31. Governing Law

These Terms of Trade are governed by the laws of New Zealand.

The parties submit to the jurisdiction of the New Zealand courts, subject to any alternative dispute-resolution process agreed between the parties.
