These Terms & Conditions apply to trade accounts, quotations, orders and purchases made through Ecosource Trade.
By applying for a trade account, requesting a quotation, approving an order or purchasing products from Ecosource, you agree to these Terms & Conditions.
1. About Ecosource
Ecosource Trade is operated by Ecosource Limited, New Zealand.
Ecosource supplies promotional merchandise, branded products and related services to trade customers.
References to “Ecosource”, “we”, “us” or “our” in these Terms mean Ecosource Limited.
References to “you”, “your” or “customer” mean the business or organisation purchasing goods or services from Ecosource.
2. Trade Customers
Ecosource Trade is intended primarily for approved trade customers and resellers.
We may approve, decline, suspend or close a trade account at our discretion.
Customers are responsible for keeping their account and contact information accurate and for maintaining the confidentiality of their login credentials.
3. Product Information
We take reasonable care to ensure product descriptions, specifications, images, materials, dimensions, colours, stock information and other product information are accurate.
Promotional products may, however, be subject to normal manufacturing variations. Colours, dimensions, materials, finishes, packaging and other characteristics may vary slightly between production batches.
Product images are illustrative and screen settings, photography and lighting may affect how colours appear.
Where exact specifications are important to an order, please confirm them with Ecosource before placing the order.
4. Pricing
Prices displayed to approved trade customers are based on the information, quantities and market selected at the time.
Unless otherwise stated, prices exclude applicable taxes, freight, branding, setup charges, artwork charges and other additional costs.
Pricing may be affected by exchange rates, supplier pricing, freight costs and other factors outside our control.
A price displayed on the website does not guarantee that the price will remain available indefinitely.
If an obvious pricing or data error occurs, we reserve the right to correct the error before accepting or producing the order.
5. Minimum Order Quantities
Minimum order quantities vary by product and are displayed on the relevant product page or quotation.
Where a supplier or production process requires a different minimum quantity, we will advise you before production.
6. Quotations
Quotations are valid for the period stated on the quotation.
If no validity period is specified, please confirm pricing and availability before placing the order.
Quotations remain subject to stock availability, supplier availability, exchange-rate movements and confirmation of branding requirements.
7. Orders
An order is not considered accepted merely because it has been submitted through the website or sent to Ecosource.
Orders remain subject to our confirmation of product availability, pricing, branding requirements, artwork, freight and production capability.
Once an order has entered production, changes or cancellations may not be possible.
Any costs resulting from an approved change or cancellation may be charged to the customer.
8. Stock Availability
Stock information may be supplied through live or periodically updated supplier systems.
Although we aim to provide accurate availability information, stock can change without notice and is not guaranteed until the order has been confirmed.
If stock becomes unavailable, we will contact you to discuss alternatives, revised quantities or other options.
9. Artwork
Customers are responsible for supplying artwork of sufficient quality and in an appropriate format for the selected branding method.
Vector artwork is generally preferred for logo reproduction and many branding processes.
Files such as low-resolution JPEGs, screenshots or web graphics may not be suitable for production and may require recreation or adjustment.
Additional artwork charges may apply where artwork requires significant preparation, recreation or modification.

10. Artwork Proofs & Approval
Where an artwork proof is supplied, production will not normally begin until the required approval has been received.
The customer is responsible for carefully checking all details before approval, including:
- spelling and wording;
- logo and artwork;
- colours;
- branding position;
- branding size;
- product colour;
- quantities; and
- any other information shown on the proof.
Approval authorises production based on the approved proof.
Ecosource is not responsible for errors that were visible on an approved proof and subsequently reproduced in accordance with that approval.
11. Branding Colours & Production Variation
We aim to reproduce supplied brand colours as closely as reasonably possible using the selected branding process.
Exact colour matching cannot always be guaranteed.
Pantone/PMS references should be supplied where required and supported by the applicable branding method.
Colour appearance may vary depending on the product material, product colour, printing method, ink, thread, engraving surface and other production factors.
Branding position, size and appearance may also be subject to reasonable production tolerances.
12. Samples
Samples may be available for selected products.
Any sample charges, freight costs and sample-credit arrangements will be communicated when applicable.
A production item may differ slightly from a sample because of normal manufacturing or batch variations.
13. Payment
Payment terms depend on the customer's approved account status.
Unless credit terms have been approved by Ecosource, payment may be required before production or dispatch.
Customers with approved credit accounts must pay invoices within their agreed payment terms.
We may suspend further orders or account access where amounts are overdue.
14. Freight & Delivery
Ecosource can arrange delivery within New Zealand, Australia and internationally.
Freight charges may be calculated or estimated based on the product, quantity, cartons, weight, dimensions and destination.
Some large, bulky, heavy or international orders may require manual freight confirmation.
Any delivery timeframe provided is an estimate unless we expressly agree otherwise in writing.
Production, freight, customs, carrier delays, weather events and other circumstances outside our reasonable control may affect delivery.
Ecosource is not responsible for consequential losses resulting from delivery delays outside our reasonable control.
15. International Orders
Ecosource ships promotional merchandise to destinations around the world.
International customers are responsible for ensuring that products can legally be imported, used and distributed in their destination country unless otherwise agreed in writing.
International shipments may be subject to customs clearance, duties, taxes, tariffs, brokerage fees or other government charges.
Unless specifically stated otherwise in our quotation or order confirmation, these charges are the responsibility of the customer or recipient.
Customs processing may affect delivery times.
16. Quantity Variations
Certain custom manufacturing and branding processes may be subject to reasonable production quantity tolerances.
Where an overrun or underrun tolerance applies to a particular product or production method, we will apply the relevant supplier or production terms.
17. Custom-Branded Goods
Products manufactured, printed, engraved, embroidered or otherwise customised specifically for a customer cannot generally be returned because of a change of mind.
Once artwork has been approved and production has commenced, cancellation may not be possible.
This does not affect any rights or remedies that cannot lawfully be excluded.
18. Faulty, Damaged or Incorrect Goods
If you believe goods are faulty, damaged, incorrectly supplied or materially different from the approved order, please contact Ecosource as soon as reasonably possible after receiving them.
Please retain the goods and packaging and provide photographs or other information reasonably required to assess the claim.
Do not dispose of, return or alter affected goods before receiving instructions from Ecosource.
Valid claims will be handled in accordance with the circumstances of the order and applicable law.
19. Sustainability & Certification Information
Ecosource provides information about product materials, recycled content, certifications, sustainability attributes and other environmental characteristics to help customers make informed product decisions.
Some of this information originates from manufacturers, suppliers, certification documentation or other third-party data sources.
We take reasonable care when presenting this information but do not independently certify every environmental or sustainability claim.
Certification and environmental attributes apply only where specifically identified for the relevant product.
Customers should not assume that a certification, material claim or environmental attribute applying to one product applies to another.

20. Product Carbon Footprints
Where Ecosource displays estimated product carbon footprint information, the figures are intended to provide additional information about the estimated climate impact associated with the product based on the methodology, data and assumptions described in our carbon methodology.
Carbon footprint figures are estimates and should not be interpreted as exact measurements or independently verified claims unless expressly stated.
Different methodologies, datasets, system boundaries and assumptions can produce different results.

21. Intellectual Property
Customers warrant that they have the necessary rights and permissions to use any logos, trademarks, designs, artwork or other intellectual property supplied to Ecosource for reproduction.
The customer agrees to indemnify Ecosource against claims arising from our authorised reproduction of artwork supplied or approved by the customer where the customer did not have the necessary rights to use that material.
Ecosource retains ownership of its website content, original photography, graphics, written material, databases and other intellectual property except where those rights belong to another party.
22. Limitation of Liability
To the maximum extent permitted by law, Ecosource's liability in connection with an order will be limited to the remedies available under applicable law and these Terms.
Where goods or services are acquired for business purposes and the law permits the relevant consumer protections to be contracted out of, the parties agree that those protections will not apply to the extent legally permitted.
Nothing in these Terms excludes or limits any right, remedy or liability that cannot lawfully be excluded.
23. Events Outside Our Control
Ecosource will not be liable for failure or delay caused by events reasonably outside our control, including supplier interruptions, manufacturing delays, transport disruption, customs delays, natural disasters, industrial action, government restrictions or other comparable events.
We will take reasonable steps to communicate material delays affecting confirmed orders.
24. Changes to These Terms
We may update these Terms & Conditions from time to time.
The version applicable to an accepted order will generally be the version in effect when that order was accepted, unless otherwise agreed or required by law.
The current version will be published on this website with its latest update date.
25. Governing Law
These Terms are governed by the laws of New Zealand.
Unless otherwise required by applicable law, the parties submit to the jurisdiction of the New Zealand courts.
